HCMC – Vietnamese property developer Novaland Group (HOSE: NVL) has plans to issue over 97 million shares under an employee stock ownership plan (ESOP) in 2025 to raise its charter capital to VND20.476 trillion.
The company’s board of directors recently approved two ESOP issues, one bonus share plan and one share sale plan. The total issuance will account for 5% of Novaland’s outstanding shares.
The issuance is scheduled to take place between the second and third quarters of 2025, pending approval from the State Securities Commission of Vietnam. The new shares will be subject to a one-year transfer restriction.
Novaland said the ESOP programs are intended to recognize the contributions of key executives, especially during a period of significant challenges over the past two years.
For the ESOP bonus shares, the planned issuance amounts to 48.75 million shares at a par value of VND10,000 per share. The capital for this issuance will be drawn from the share premium account based on the company’s audited separate financial statements for 2024.
Regarding the ESOP share sales, another 48.75 million shares will be offered at a par value of VND10,000 per share. All proceeds from the offering will be used to strengthen the company’s resources for business operations and working capital.
Following the issuance, Novaland’s charter capital is expected to increase to some VND20.5 trillion.
